RE: Delegation of Authority - Acquired Clinical Facilities Not Operating Under the UCI Medical Center License

Pursuant to Regents Bylaw 31, as the chancellor of UC Irvine I serve as the executive lead of the UC Irvine campus, responsible for the organization, internal administration, operation, financial management, and discipline of the campus, including the operations of UCI Health. I have delegated to you all the necessary authority to act in the role of the responsible executive officer for the mandatory regulatory functions and responsibilities of the president and CEO of UCI Health and UCI Medical Center.

On January 31, 2024, UCI Health entered into a definitive agreement to purchase certain assets from Tenet Health Care, including four general acute care hospitals, two ambulatory surgery centers, one hospital outpatient department surgical center, multiple clinics, 13 medical office buildings, a limited Knox-Keene license, and five independent practice associations (IPAs).

I am hereby delegating to you, as president and CEO of UCI Health, the authorities necessary to perform mandatory regulatory functions and responsibilities of each of the four licenses general acute care hospitals that will be acquired upon the closing of the transaction, including the authority to appoint one or more persons to serve as the "Governing Body" for each hospital, as such term is defined in the Medicare conditions of participation (42 C.F.R 482.12) and the California Code of Regulations for licensure of general acute care hospitals (Title 22, Sections 70035 and 70701). You may appoint any such individuals as you deem to be in the best interests of the university and the best interest of maintaining high-quality patient care and financial stewardship of each hospital. Each hospital's governing body shall, in turn, appoint a chief executive officer as the administrator responsible for managing the hospital and performing all of the functions and responsibilities of the chief executive officer as described in the Medicare conditions of participation, the California Code of Regulations for licensure of general acute care hospitals, and the applicable medical staff bylaws. Upon the consolidation of any of the four general acute care hospitals under the UCI Medical Center license, this portion of the delegation shall cease to be operative as to that general acute care hospital.

You may re-delegate any of the authorities necessary to perform the functions and responsibilities of a general acute care hospital to the incumbent CEOs or any equivalent position. You may also re-delegate any of the authorities necessary to maintain high quality patient care and financial stewardship and to direct the daily operations of any other facility, clinic, medical office building, professional practice, or IPA to any individual as you deem appropriate and prudent, but only to the extent such delegation does not conflict with any policy of the University of California, nor any existing UC Irvine Delegation of Authority (including, but not limited to IDA 099, IDA 494, IDA 595, IDA 627, IDA 635, IDA 637 and IDA 640). Any such delegation of authority may not be relegated by any facility CEO or equivalent position. Upon the consolidation of any facility under the UCI Medical Center license, this portion of the delegation shall cease to be operative as to that facility.

The authority provided by this delegation is broad and should be exercised with discretion. This authority may not be redelegated.
